You agree to use KizVal only for lawful business purposes. You must not use KizVal to: Send spam or unsolicited bulk messages. Send fraudulent, deceptive, or misleading communications. Impersonate another person or organization. Conduct scams, phishing, or other fraudulent activity. Distribute malware or malicious software. Harass, threaten, abuse, or unlawfully target individuals. Violate intellectual-property, privacy, or other rights. Collect or process personal information without an appropriate legal basis. Send content prohibited by applicable laws or third-party platforms. Circumvent security, usage, rate, or technical restrictions. Attempt to gain unauthorized access to KizVal or another user's account. Interfere with the operation or security of the Service. Use KizVal to facilitate illegal activities. We may suspend or terminate accounts that violate these requirements.

You may need to create an account to access certain features. You agree to: Provide accurate and current information. Keep your account information up to date. Maintain the confidentiality of your login credentials. Use reasonable security measures to protect your account. Notify us promptly if you believe your account has been compromised. Accept responsibility for activity occurring through your account. You must not share your account credentials with unauthorized individuals or allow unauthorized persons to access your account. You are responsible for activity conducted through your account unless caused by KizVal's failure to maintain reasonable security measures.

Paid plans are billed in advance on a recurring monthly or annual basis. Pay-as-you-go message credits are deducted from your wallet as you ship.

Billing cycle

Subscription fees auto-renew at the end of each billing period unless cancelled before the renewal date. You can cancel anytime from your account settings.

Taxes

All fees are exclusive of applicable taxes (GST, VAT, sales tax). Taxes are added at checkout based on your billing address.

We aim to keep KizVal available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable because of: Maintenance. Software updates. Infrastructure failures. Security incidents. Third-party outages. Internet or telecommunications failures. Government or regulatory actions. Events outside our reasonable control. We may modify, suspend, or discontinue features where reasonably necessary.

Where applicable, you are responsible for providing appropriate privacy notices and obtaining required consent.

KizVal and its licensors retain all rights, title, and interest in: The KizVal platform. Software and source code owned or licensed by KizVal. KizVal branding. Logos and trademarks. Website design. Documentation. Product interfaces. Features and functionality. Except as expressly permitted under these Terms, you may not copy, modify, distribute, reverse engineer, resell, sublicense, or create derivative works from KizVal's proprietary materials.

Each party agrees to keep the other's confidential information confidential and to use it only for purposes of the Service. This obligation survives termination for 3 years.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIZVAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DO NOT GUARANTEE THAT: THE SERVICE WILL ALWAYS BE AVAILABLE. THE SERVICE WILL BE ERROR-FREE. AI-GENERATED OUTPUT WILL ALWAYS BE ACCURATE. THIRD-PARTY SERVICES WILL REMAIN AVAILABLE. WHATSAPP, META, PAYMENT PROVIDERS, AI PROVIDERS, OR OTHER INTEGRATIONS WILL CONTINUE TO SUPPORT PARTICULAR FEATURES. THE SERVICE WILL MEET EVERY PARTICULAR BUSINESS REQUIREMENT. USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR REVENUE, SALES, LEADS, OR BUSINESS OUTCOME. YOU ARE RESPONSIBLE FOR DETERMINING WHETHER THE SERVICE IS APPROPRIATE FOR YOUR BUSINESS.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless KizVal and its affiliates, officers, employees, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from: Your use of the Service. Your violation of these Terms. Your violation of applicable law. Your Customer Content. Your misuse of third-party integrations. Your violation of the rights of another person or organization.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIZVAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIZVAL'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO KIZVAL FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

We may suspend or terminate your access to KizVal if: You materially breach these Terms. You fail to pay applicable fees. Your use creates a security or legal risk. You engage in abuse, fraud, spam, or prohibited activity. A third-party platform requires or causes suspension. Your use may harm KizVal, other customers, or third parties. Where reasonably possible, we may provide notice and an opportunity to resolve the issue. Upon termination, your right to access the Service may end.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service will be subject to the jurisdiction of the courts with appropriate jurisdiction in Nigeria, unless otherwise required by applicable law.

We may update these Terms from time to time. When we make material changes, we may provide reasonable notice through the Service, email, or another appropriate method. Your continued use of KizVal after the updated Terms become effective constitutes acceptance of the revised Terms.

These Terms, together with our Privacy Policy and any additional terms applicable to specific KizVal features, constitute the entire agreement between you and KizVal concerning your use of the Service

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

KizVal will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, government action, internet failures, infrastructure failures, third-party service outages, labor disputes, or other events outside our reasonable control.

Before commencing formal proceedings, you agree to give KizVal a reasonable opportunity to resolve the dispute by contacting us at the support or legal address provided below. We will make reasonable efforts to resolve disputes in good faith. Nothing in this section prevents either party from seeking urgent legal or injunctive relief where appropriate.

We may add, modify, replace, or remove features from KizVal as the platform develops. We may also release experimental or beta features. Beta and experimental features may be less stable and may be changed or discontinued without notice.

Where technically supported, KizVal may provide tools to export certain Customer Content. Following account termination, we may retain or delete information according to our Privacy Policy, legal obligations, security requirements, backup procedures, and legitimate business purposes. You are responsible for maintaining appropriate backups of information that is important to your business.

THIRD-PARTY SERVICES KizVal may contain integrations, links, or functionality provided by third parties. Third-party services are controlled by their respective providers. KizVal is not responsible for the availability, security, content, policies, or performance of third-party services. Your use of third-party services may require acceptance of additional terms.
